End-User License Agreement

1. Parties and acceptance

This agreement is between Mark and Bruce Management, LLC, acting for itself and on behalf of the affiliated companies it manages, which trade together as Pets Plus Natural (“we”, “us”), and each authorized individual granted access to the Fishbowl application (“you”). By signing in to Fishbowl you accept these terms. If you do not accept them, do not use the application.

2. Grant of license

We grant you a limited, non-exclusive, non-transferable, revocable license to use Fishbowl solely for the internal business purposes of Pets Plus Natural and its affiliated companies, and solely for as long as you are employed by or engaged with any of them and your access remains authorized.

3. Restrictions

You may not:

• share your credentials, or allow anyone else to use your account;
• access, extract, copy or disclose data from Fishbowl for any purpose other than your work for Pets Plus Natural;
• copy, modify, decompile, reverse-engineer or create derivative works from the application;
• transfer, sublicense, resell or otherwise make the application available to any third party;
• use the application in violation of any applicable law, or in any way that compromises the security or integrity of our systems or of any connected service.

4. Connected services

Fishbowl connects to third-party services we use to run our business, including QuickBooks Online, our point-of-sale system, our e-commerce platform and our suppliers’ systems. Your use of data obtained through those connections is also subject to our agreements with those providers. Financial data accessed through the QuickBooks integration is confidential business information and must be treated accordingly; our privacy policy describes what that integration accesses and how it is handled.

5. Ownership

Fishbowl, including all software, design and documentation, remains our property. This agreement grants a license to use it, not any ownership interest. All business data within the application remains the property of Pets Plus Natural.

6. Confidentiality

Information you access through Fishbowl — financial results, supplier pricing and terms, customer records, staffing and operational data — is confidential. You must not disclose it to anyone outside Pets Plus Natural and its affiliated companies without authorization, during or after your engagement with us.

Fishbowl records activity within the application, including sign-ins and actions taken. You should not expect your use of the application to be private, and we may review that activity for security, support and legitimate business purposes.

7. Availability

Fishbowl is provided for internal use without any commitment to availability, uptime or continued operation. We may modify, suspend or discontinue any part of it, and may revoke access, at any time and without notice.

8. No warranty

FISHBOWL IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Reports and analysis produced by the application are decision-support tools and may contain errors or rely on incomplete data; they should be verified before being relied upon for material business decisions.

9. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business, arising from or relating to your use of Fishbowl.

10. Termination

This license ends automatically when your authorization is revoked or your engagement with Pets Plus Natural ends. Sections 3, 5, 6, 8, 9, 11 and 12 survive termination.

11. No employment contract

This agreement governs your use of an internal application. It is not an employment contract, does not create or alter any employment relationship, and does not change the at-will nature of any employment with Pets Plus Natural.

12. Governing law

This agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules. The state and federal courts serving Montgomery County, Pennsylvania have exclusive jurisdiction over any dispute arising under it.

13. Changes to this agreement

We may update these terms. When we do, we will revise the date at the top of this page. Continued use of Fishbowl after a change constitutes acceptance of the revised terms.

14. General

If any provision of this agreement is held unenforceable, the remainder stays in force and the unenforceable provision is applied to the maximum extent permitted. Our failure to enforce any provision is not a waiver of it. You may not assign this agreement; we may assign it in connection with a sale or reorganization of the business. Together with the privacy policy, this is the entire agreement between us regarding Fishbowl, and supersedes any prior understanding on the subject.
